These general terms and conditions have been compiled by us, Rhodyon iT based in Westerlee (Netherlands), with the greatest possible care and apply to our website Rhodyon.eu.

Article 1 – General
  • These general terms and conditions apply to all services of Rhodyon. The conditions are accessible to everyone and included on the Rhodyon website.
  • By placing an order, you indicate that you agree to the delivery and payment conditions.
  • Unless otherwise agreed in writing, general or specific conditions or terms of third parties are not recognized by Rhodyon.
  • Rhodyon guarantees that the delivered product or service matches the agreement and meets the specifications mentioned in the offer.
  • Rhodyon is at all times entitled to amend or supplement the General Terms and Conditions.
Article 2 – Content, Quotes & Delivery
  • It is explicitly not permitted to place illegal content on Rhodyon servers or to use them for criminal activities.
  • Rhodyon uses quotes based on standard packages for its hosting services. The prices and descriptions of the packages as stated on the Rhodyon website are binding quotes from the moment an order is placed by the customer.
  • The quotes from Rhodyon are only for informational purposes. All stated prices include VAT unless otherwise indicated. The prices stated in a quote are valid for a period specified in the quote. If no period is specified in the quote, it is valid for 30 calendar days.
  • The agreed delivery periods and delivery dates are always indicative and do not bind Rhodyon. By delivery of software is meant the making available by Rhodyon to the customer of an executable version of the software on magnetic carrier, readable by the customer's computer hardware, or installed on the customer's server or on one of Rhodyon's servers. Complaints regarding visible or mechanical defects must be reported to Rhodyon within 14 days after delivery.
  • No liability for defects can be retained on the part of Rhodyon if this period has passed without receipt of the aforementioned report. The timely and justified complaints of the customer will lead to repair or replacement of the delivered services and goods or the defective parts thereof by Rhodyon without Rhodyon being liable for damages.
Article 3 – Prices
  • Prices will not be increased during the offer period, unless legal measures make this necessary.
  • All prices on the site are subject to printing and typesetting errors.
  • All prices on the site are in EUROS and include 21% VAT.
Article 4 – Duration and Termination
  • Rhodyon can terminate the agreement with immediate effect if the customer does not properly or fully meet one or more of its obligations towards Rhodyon or acts in violation thereof.
  • Rhodyon has the right to terminate the agreement without notice or judicial intervention with immediate effect if the customer has been declared bankrupt, has applied for or obtained suspension of payments or has otherwise lost control of its assets. The latter party shall then not be entitled to any compensation.
  • Shared hosting services have a minimum term of 1 year, after which they can be cancelled monthly.
  • Dedicated server contracts have a minimum term of 1 year, after which they can be cancelled quarterly.
  • If the customer wishes to terminate the delivery of the service, a written cancellation must reach Rhodyon 31 calendar days before the end of the current period.
  • Registered domain names will only be renewed if the payment for the renewal reaches Rhodyon before the registration expiry date. If the payment does not reach Rhodyon before this date, Rhodyon will silently assume that the customer does not wish to extend the registration period and will request release of the domain name from the registering authority.
  • If the registering authority does not use an expiry date system, the calendar day following the period for which the customer has already made payments to Rhodyon will be used.
  • If the registering authority uses a procedure or requires the completion of documents for the termination of a domain name registration, registered domain names can only be cancelled with the documents and/or procedures designated by the registering authority.
Article 5 – Data Management

If you place an order with Rhodyon, your data will be included in Rhodyon's customer database. See also our Privacy Policy.

Article 6 – Intellectual Property
  • Rhodyon or third parties from whom Rhodyon has obtained license permits remain the owner of all intellectual and other property rights to all software at all times. The customer guarantees that he has all copyrights and other rights regarding the information he includes on his website and guarantees that Rhodyon can never be held liable for this in any way.
  • The customer guarantees that he has all copyrights and other rights or the necessary valid licenses regarding the software he places on hardware made available by Rhodyon, or hardware housed at Rhodyon.
Article 8 – Offers
  • Offers are non-binding, unless otherwise stated in the offer.
  • Upon acceptance of a non-binding offer by the buyer, Rhodyon reserves the right to revoke or deviate from the offer within 3 working days after receipt of that acceptance.
  • Oral commitments only bind Rhodyon after they have been expressly confirmed in writing.
  • Offers from Rhodyon do not automatically apply to reorders.
  • Rhodyon cannot be held to its offer if the customer should have understood that the offer, or a part thereof, contained an obvious mistake or typographical error.
  • Additions, changes and/or further agreements are only valid if agreed in writing.
Article 9 – Agreement
  • An agreement between Rhodyon and a customer is concluded after an order has been assessed for feasibility by Rhodyon.
  • Rhodyon reserves the right to refuse orders or assignments without giving reasons.
  • The payment of each invoiced amount, tax included, must be made on the invoice date to Rhodyon's bank/giro account without costs for Rhodyon.
  • In case of late payment on the due date, the invoice amount will be increased by a fixed compensation of 10%, with a minimum of 50 Euros and with interest of 1.25% per month from the due date. For each reminder, 12.5 euros administration costs will be charged.
  • In case of late payment, Rhodyon will also be entitled to suspend all further deliveries to the customer and/or dissolve current agreements by operation of law, without prejudice to Rhodyon's right to claim performance and/or compensation from the customer.
  • Rhodyon reserves the right to refuse, stop or postpone the execution of an order without right to compensation and without being able to invoke refusal of sale. Rhodyon can stop the execution of any order from a customer without prior notice and without any recourse or compensation, when it appears that the payment of an order from the same customer has not been made by the due date.
  • As long as the customer has not paid the full price including costs and taxes to be increased with any interest and/or compensation, Rhodyon remains the owner of the goods or services delivered by it.
  • The customer undertakes to pay all performances delivered on his behalf.
Article 10 – Images and Specifications

All images; photos, drawings, etc.; data regarding weights, dimensions, colors, images of labels, etc. on the Rhodyon website are only approximate, are indicative and cannot be a reason for compensation or dissolution of the agreement.

Article 11 – Force Majeure
  • Rhodyon is not liable if and insofar as its obligations cannot be fulfilled due to force majeure.
  • Force majeure is understood to mean any external cause, as well as any circumstance that should not reasonably be for its risk. Delays or non-performance by our suppliers, internet failures, electricity failures, email failures and failures or changes in technology supplied by third parties, transport difficulties, strikes, government measures, delays in supply, negligence of suppliers and/or manufacturers of Rhodyon as well as of auxiliary persons, illness of staff, defects in auxiliary or transport means are explicitly regarded as force majeure.
  • In case of force majeure, Rhodyon reserves the right to suspend its obligations and is also entitled to dissolve the agreement in whole or in part, or to demand that the content of the agreement is changed in such a way that execution remains possible. Rhodyon is in no case obliged to pay any fine or compensation.
  • If Rhodyon has already partially fulfilled its obligations when the force majeure occurs, or can only partially fulfill its obligations, it is entitled to invoice the already delivered or deliverable part separately and the customer is obliged to pay this invoice as if it were a separate contract. This does not apply if the already delivered or deliverable part has no independent value.
Article 12 – Liability
  • Rhodyon cannot be held liable for any direct or indirect damage or consequential damage that would be wholly or partly the result of an error or negligence attributable to Rhodyon or one of its employees during the execution of a service on behalf of the customer or as a result of decisions made by Rhodyon or one of its employees based on information provided by the customer to Rhodyon.
  • Rhodyon will never be liable for any direct or indirect damage such as, but not limited to, loss of income, claims from third parties, loss of clientele or loss of data or for any other damage due to material or information provided by Rhodyon to the customer.
  • Given the large number of nodes on the Internet with human intervention, the use of local networks and wireless communication, the customer should take into account that information obtained or transmitted via the Internet is freely accessible. Rhodyon cannot be held liable for damage in any form caused by the transmission of confidential or secret information. Rhodyon is not liable for security or misuse by third parties of data stored on Rhodyon's equipment.
  • Given that the Internet consists of a large number of technical nodes all managed by different companies, Rhodyon cannot be liable for the entire trajectory of the connection between the Rhodyon servers and the customer's end station. Only if the services are interrupted by an identifiable fault of Rhodyon can the customer claim compensation, whereby the compensation will be limited to the refund of the proportional part of the annual subscription price for the duration of the interruption. Claims for compensation must reach us in writing no later than 2 weeks (14 calendar days) after the interruption.
Article 13 – Retention of Title
  • The ownership of all goods sold and delivered by Rhodyon to the customer remains with Rhodyon as long as the customer has not paid Rhodyon's claims under the agreement or earlier or later similar agreements, as long as the customer has not paid the performed or yet to be performed work from these or similar agreements and as long as the customer has not paid Rhodyon's claims due to non-performance of such obligations, including claims regarding fines, interest and costs, all as referred to in Article 3:92 of the Dutch Civil Code.
  • The goods delivered by Rhodyon that fall under the retention of title may only be resold in the context of normal business operations and may never be used as a means of payment.

  • Disputes arising from an agreement between Rhodyon and the buyer, which cannot be resolved by mutual agreement, will be settled by the competent court within the district of Groningen (Netherlands), unless Rhodyon prefers to have the dispute settled by the competent court of the buyer's place of residence, with the exception of disputes that fall under the jurisdiction of the subdistrict court.
Article 15 – Changes to the General Terms and Conditions

Changes to these general terms and conditions will only take effect after they have been published in an appropriate manner, with the understanding that applicable changes during the term of an offer will be most favorable to the consumer.
